Stephen Tumwesigye is a Partner at TASLAF Advocates. He specializes in Energy, Infrastructure, construction, impact finance, nonprofit and social enterprise law. Before starting TASLAF, he worked as a legal and tax consultant with Deloitte- East Africa.

Stephen has acted for multinational construction entities and financing agencies involved in high profile infrastructure projects. He has acted as legal and tax advisor to French water company Suez-on its USD 10M bid to construct a water treatment plant in Uganda and has acted for a consortium of Turkish firms currently reconstructing major ferries on Lake Victoria under a UNRA project. His experience includes advising clients on tax and legal aspects of setting up in Uganda, structuring joint venture agreements and advising on all aspects of the Procurement, Engineering, and Construction value chain. This is in addition to participating in a litigation involving employment, tax and construction disputes.

Stephen is a pioneer impact finance lawyer in Uganda and has advised impact finance funds set up in the East African region including The Yunus Social Business Foundation’s over USD 20M to support local social businesses in Uganda and as legal/transaction advisor to the Uganda Bio Diversity Trust Fund’s over USD 100M public/private sector-led fund to support innovation in conservation. He has also advised Great Lakes Coffee Co. on a 7M USD investment from Responsibility AG. His experience has involved lobbying for the registration of the funds with the Capital Market’s Authority and other regulatory bodies. He has been involved in the setting up, restructuring and continues to advise leading multinational non-profits, foundations and other philanthropic entities in Uganda including Millennium Promise Inc, Jhpiego, Wild Life Conservation Society all with over 200 employees in Uganda. Stephen has a deep understanding of the new NGO regulatory environment. 

Stephen has served as a mentor in the Yunus Social Business Foundation and The Tony Elumelu Entrepreneurship Program and is a regular speaker at conferences involving finance for development. He coordinates our pro bono project that offers free legal services to innovative social enterprises in their startup stage. He holds a Master of Laws from Harvard Law School where he was a beneficiary of the Open Society Foundations Scholarship.

Transactional Experience

  • Advising EMS Africa, Mpanga on a project to construct an 18 MW hydropower dam on River Mpanga and River Nyamwamba in Western Uganda.  
  • Advising an international water and environmental company, Suez (France), on a proposed USD 12 million construction of a water treatment plant in Uganda.
  • Advising a Turkish consortium on a contract for the repair of major ferries on Lake Victoria, Uganda, a project of the Uganda National Roads Authority (UNRA).
  • Advising Veksons Uganda in a USD 1 million claim against Bank of Uganda and Crane Bank in recover liquidation.  
  • Advising Great Lakes Coffee Co Ltd on a USD 900,000 claim against Eco Bank at the High Court (Commercial Division), resulting in a settlement in March 2017.
  • Representing Media Focus on Africa on a USD 300,000 claim for damages resulting from the termination of a Director’s contract on an EU funded documentary project. ( 2017)
  • Advising a group of exporters in a UGX 15 billion dispute with Uganda Revenue Authority over whether exempt supplies are within the purview of the VAT Act. 
  • Advising Yunus Social Business Foundation Uganda on their USD 20 Million fund to support social businesses in Uganda and its registration with the Capital Markets Authority of Uganda. (2016-Ongoing)
  • Advising Uganda Biodiversity Trust Fund, a USD 100 million private sector-led conservation fund, on its set up in Uganda.
  • Advising on the restructuring of an international NGO, Millennium Promise Inc., and its flagship program, the Millennium Villages Project.
  • Acting as legal advisor to Wild Life Conservation Society, one of the oldest international NGO’s in Uganda with over 200 employees. (2015-Ongoing)
  • Acting as legal advisor to Jhpiego- a leading healthcare advocacy organization with over 500 employees in Uganda. (2017-Ongoing)
  • Acting as legal counsel to Great Lakes Coffee, a leading coffee exporter in Uganda, and advising on its USD 7 million debt investment from Responsibility AG.
  • Acting as legal and tax advisor to Village Enterprises- a leading social enterprise operating in Hoima and Soroti supporting rural farmers.
