  • Acting as corporate and legal counsel to the following entities: Grameen Foundation Uganda; Insight Creations Limited; Yunus Social Business Foundation Uganda (YSBF); Great Lakes Coffee Limited; Africa Energy Management Systems Mpanga; SAEMS Hydro Limited; Cutting Station Limited; Mpanga Hydro Limited; Biodiversity Trust Fund; and, Wollstra Engineering Limited.
  • Advising Millennium Promise Alliance Inc. on the winding up of its former entity in Uganda.
  • Advising Great Lakes Coffee on the legal efficacy of terms in a Crop Financing agreement with a coffee processing entity in Uganda.
  • Advising on the legal structuring considerations on the proposed corporate spin-off of the CKW Project from the Grameen Foundation Uganda.

Banking & Finance

  • Advising and acting as legal counsel to Veksons Uganda in a claim against Bank of Uganda and Crane Bank in Liquidation. The over USD one million had remained due and owing to our client who was contracted to construct the Crane Bank branches across the country.
  • Advising Great Lakes Coffee on an impact finance debt from Responsability Investments AG to the tune of USD seven million.
  • Advising and reviewing a crop financing agreement between Great Lakes Coffee Uganda and a coffee supplier, including the perfection of a mortgage created on the supplier’s factory premises.
  • Advising YSBF on the capitalization of UGX 48 million, part of a debt facility which involved increase of share capital and allotment of new shares in a company.
  • Advising YSBF on the perfection of mortgages and debentures for loans of over USD one million to social businesses in Uganda
  • Advising YSBF in its registration and application process with the Capital Markets Authority as the first venture capital fund in Uganda.
  • Advising YSBF on the due diligence check list used by its investment committee in vetting social businesses to receive investment capital.
  • Advising UZURI Health & Beauty Limited on securing a loan under convertible promissory notes.
  • Advising Grameen Foundation Uganda on the legal and tax considerations in accepting to receive payments from Opportunity Bank Uganda through its parent Company in the USA.

Employment & Labour

  • Advising, drafting and reviewing human resource manuals and employment agreements and contracts for a number of corporate entities and international organizations, including: Plan International; Wildlife Conservation Society; Great Lakes Coffee; War Child Canada; Peripheral Vision International; YSBF; Grameen Foundation Uganda; JSI Research & Training Institute; Jhpiego, an affiliate of John Hopkins University; UZURI Health & Beauty Limited, Goldmine Finance Limited; Orion Transformers & Electrics Ltd;  and, Trocaire Uganda.
  • Advising War Child Canada, JSI Research & Training Institute, Plan International on employment law related matters including disciplinary proceedings and the negotiations and settlements of terminations.
  • Advising Insight Creations Limited, a subsidiary of African Innovations Mauritius on the terms of termination for three employees whose contracts were terminated as a result of internal restructuring.
  • Representing Great Lakes Coffee in a labour dispute involving 11 formal employees that were represented by Platform for Labour Action, resulting in a successful settlement for our client.
  • Under the Trust Law partnership with Thomson Reuters, advising and preparing a human resource manual for Wana Energy Solutions, a natural gas manufacturing and distributing social business.

Telecommunications

  • Advising Media Focus on Africa (MFA) in a program license agreement to grant Africa Broadcasting Uganda Limited (trading as NTV Uganda) broadcasting rights to air YAT Madit series.
